§ 1 Scope

(1) These Terms and Conditions apply to all contracts for the provision of services (e.g., software development, app programming, licensing of startups like vibecard.de, galaxislink.com, nejatpro.com, susumenu.com) between Majesty Developers (Owner: Omar Awel, Irenenstr. 66, 40468 Düsseldorf) and the customer.

(2) Deviating terms of the customer are only recognized if agreed upon in writing.

§ 2 Conclusion of Contract

The contract is concluded upon acceptance of our offer or confirmation of the order. Oral side agreements require written form.

§ 3 Service Description & Remuneration

(1) We provide services according to individual agreement (e.g., development of web/mobile apps with AI integration).

(2) Remuneration: Flat rate [e.g., €5,000] or hourly [e.g., €100/hr], plus VAT. Payment: 50% down payment, remainder upon acceptance. Late fees: €5, default interest: 9% above the base interest rate.

§ 4 Ownership & Rights

(1) Source code and rights are transferred to the customer upon full payment (simple usage license). Majesty retains reservation of ownership rights.

(2) For startups (e.g., vibecard.de): Licensing according to § 69a UrhG – commercial use permitted, no resale without consent.

§ 5 Acceptance & Warranty

(1) The customer inspects the service for defects within 14 days.

(2) Warranty: 12 months, free of charge for defect correction. No liability for consequential damages.

§ 6 Liability

Liability is limited to intent and gross negligence. Data protection: See Privacy Policy.

§ 7 Right of Withdrawal

See Cancellation Policy.

§ 8 Place of Jurisdiction

Düsseldorf, Germany, as far as legally permissible.

§ 9 Severability Clause

Invalid clauses will be replaced by valid ones.
